ASX Market Information customers are advised that Amcor Limited’s (Issuer Code) scheme of arrangement with Bemis Company, Inc. effective Wednesday 05 June 2019 will be facilitated via a 1 for 1 Consolidation corporare action to be disseminated tonight 03 June 2019.
Shareholders have approved the proposed Scheme of Arrangement (Scheme) under which a new holding company, Amcor plc, will acquire all of the shares in Amcor and subsequently acquire Bemis Company, Inc (Bemis) in an all stock combination by way of a merger of Bemis into a subsidiary of Amcor plc. Each Amcor Shareholder (except for any Ineligible Foreign Shareholders) will receive one New Amcor ASX listed CDI (or one New Amcor NYSE listed share, if the Amcor Shareholder so elects) for each Amcor Share owned. Each New Amcor CDI will represent a beneficial interest in one New Amcor Share.
AMC will commence trading on a deferred settlement basis: Wednesday 05 June 2019 (ASX Code: AMCDC)
Last day to trade on a deferred settlement basis: Tuesday 11 June 2019
